Terms of Service

Please read these terms carefully before submitting a project or making a payment. By using ShipInADay, you agree to these guidelines.

Clear scope, clear delivery

ShipInADay is a done-for-you development service. Your tier or approved custom quote defines scope, timeline, and price. We communicate through your dashboard and email — approve quotes before payment and review previews before final handoff.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Peak Collective LLC dba Ship in a Day ("Company," "we," "us," or "our"), a company organized under the laws of the State of Missouri, United States.

By visiting www.shipinaday.com, creating an account, submitting a project request, approving a quote, or paying for a build, you agree to these Terms.

By submitting a project request, you also agree to these Terms and represent that you have authority to bind yourself or the organization you represent.

2. Description of Service

ShipInADay provides done-for-you MVP and SaaS development. Depending on your tier, we deliver authentication, database setup, core features, payments integration, preview hosting, and source code handoff within the stated delivery window.

We may decline projects that are outside our capacity, violate law, or cannot reasonably be delivered in the agreed timeframe. We will communicate alternatives when possible.

3. User Accounts

You must be at least 18 years old and able to form a binding contract to use the service.

You agree to:

  • Provide accurate registration and project information.
  • Keep your login credentials confidential.
  • Notify us if you suspect unauthorized access to your account.
  • Accept responsibility for activity under your account.

4. Projects, Quotes & Delivery

  • Standard tiers: scope and delivery window are described on our pricing page. Payment in full is required before we begin development unless we agree otherwise in writing.
  • Custom tier: we provide a written quote you must approve before payment. Revised quotes replace prior amounts once accepted.
  • Order of precedence:if your approved custom Statement of Work ("SOW"), tier description, and these Terms conflict, the order of control is: (1) dashboard-approved or signed SOW, (2) tier description on the pricing page at time of payment, (3) these Terms.
  • Preview & handoff: you may preview work on a staging URL before we transfer repositories and deployment assets. Preview access does not transfer intellectual property or production hosting until payment is complete.
  • Support period: post-delivery support for bug fixes and minor adjustments is included as follows: Spark — 7 calendar days; Launch — 14 calendar days; Scale — 30 calendar days; Custom — as stated in your SOW. Support begins at handoff (delivery of code archive and documented preview access). New features, integrations, and redesigns are not included and require a separate quote.
  • Termination: either party may terminate a project before delivery upon written notice. If you terminate after work has begun, fees for work performed and committed resources are non-refundable unless otherwise agreed. Sections that by nature should survive (IP, payment, disclaimers, liability, indemnity, governing law) survive termination.

5. Payments & Refunds

Payments are processed through Stripe. You agree to pay the amount shown at checkout or on your approved quote.

  • Custom quotes: must be approved in your dashboard before checkout is available.
  • Non-delivery: if we do not deliver the scope described in your approved tier or written SOW within the agreed delivery window and cannot cure within a reasonable additional period, you may request a refund of fees paid for that project.
  • No automatic guarantee: except as stated above or required by law, all fees are non-refundable once work has begun. Marketing descriptions are summaries only; this Section controls.
  • Billing disputes: notify us at [email protected] within fourteen (14) days of the charge. Undisputed amounts remain due.
  • Chargebacks: you agree to contact us before initiating a chargeback so we can resolve the issue directly.
  • Digital products: the DIY Playbook and similar downloads are delivered electronically after payment. You receive a personal-use license as described at purchase; redistribution is not permitted.

6. Your Content & Intellectual Property

  • Your materials: you retain ownership of app ideas, branding, and content you provide. You represent that materials you provide do not infringe third-party rights and that you have permission to use them in the project.
  • Assignment:upon receipt of all fees due for the project, Company assigns to you its right, title, and interest in the source code and other deliverables created specifically for your project under the applicable SOW, excluding Company's pre-existing templates, tools, libraries, and know-how ("Background IP").
  • Background IP license: Company grants you a perpetual, worldwide, royalty-free license to use Background IP solely as embedded in the deliverables.
  • Third-party components: deliverables may include open-source or third-party components subject to their own licenses. Company will use commercially reasonable efforts to identify material open-source licenses in the handoff documentation.
  • Confidentiality: we treat your project briefs and pre-launch details as confidential and will not publish them without your consent, except as required by law.

7. Acceptable Use

You agree not to use ShipInADay to request or deploy:

  • Illegal products, scams, or infringing content.
  • Malware, phishing, or systems designed to harm users.
  • Projects that violate third-party rights or applicable law.

You will defend, indemnify, and hold harmless Company from claims arising out of your materials, your instructions, your use or deployment of deliverables, or your violation of these Terms or applicable law.

Enforcement: we may decline, pause, or cancel projects that violate these rules. Fees may be refunded at our discretion when work has not substantially begun.

If you believe content on our preview infrastructure infringes your copyright, contact [email protected] with a description of the work and the infringing material. We will review and respond as appropriate.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that every idea can be built in 24 hours. Timelines depend on scope, complexity, and tier selected.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE RELEVANT PROJECT.

Nothing in these Terms limits liability for fraud, willful misconduct, or obligations that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations of liability, so the above limitations may not apply to you.

10. Governing Law & Changes

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles.

You and the Company consent to the exclusive jurisdiction and venue of the state and federal courts located in Greene County, Missouri, and waive any objection based on inconvenient forum, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may update these Terms from time to time. Material changes will be posted with a revised "Last updated" date. Continued use after the effective date constitutes acceptance. For active paid projects, the Terms in effect at payment control unless required otherwise by law.
